1. Agreement to Terms
By accessing or using the OMS Software website (omssoftware.com.au) or the OMS Software platform, you agree to be bound by these Terms of Use. If you do not agree, please do not use the website or platform.
These Terms apply to all visitors, prospective customers, and registered users. For customers with an active subscription, these Terms apply alongside any signed Order Form or Subscription Agreement, which takes precedence in the event of a conflict.
2. About OMS Software
OMS Software is a cloud-based LIMS (Laboratory Information Management System), ERP (Enterprise Resource Planning), and QMS (Quality Management System) platform purpose-built for Testing, Inspection, and Calibration (TIC) laboratories. The platform is developed and operated by OMS Software Pty Ltd (Australia) and its related entity OMS-Business Digitalisation Pvt Ltd (India).
The platform is designed to support compliance with the following standards and frameworks:
- ISO/IEC 17025:2017 — General requirements for the competence of testing and calibration laboratories
- ISO/IEC 17020:2012 — Requirements for the operation of various types of bodies performing inspection
- ISO 9001:2015 — Quality management systems requirements
- NABL (National Accreditation Board for Testing and Calibration Laboratories, India)
- NATA (National Association of Testing Authorities, Australia)
3. Platform Modules
All subscription plans include access to the core OMS Software platform. The following modules are available, subject to the plan selected:
- Job Management: End-to-end job creation, assignment, status tracking, and client communication
- Test Reporting: Digital capture of NDT and laboratory test results, automated report generation with ULR and QR code verification, NABL/NATA-ready report templates
- Calibration and Asset Tracking: Instrument registers, calibration schedules, due-date alerts, calibration certificates, and reference standard traceability matrices
- Quality Management (QMS): Non-conformance management, corrective action tracking, internal audit scheduling, document-controlled procedures and work instructions
- Document Control: Controlled document library with version history, approval workflows, and clause mapping to ISO/IEC 17025 and 17020
- Personnel and Competency: Technician qualification records, training logs, certification expiry tracking, and welder qualification management (WPQ/WQR)
- Accounting and Invoicing: Quotation generation, job-linked invoicing, and GST-compliant billing for India and Australia
- Client Portal: Secure, role-based portal for your clients to access, view, and download test reports and certificates without requiring an OMS user licence
The specific modules available to your organisation depend on the plan agreed in your Order Form or Subscription Agreement. Additional modules can be activated at any time.
4. Eligibility
You must be at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or your organisation. By using our services, you represent that you meet these requirements.
5. Subscription and Pricing
OMS Software is offered on a subscription basis. Pricing, billing frequency, user entitlements, and any applicable discounts are as set out in your Order Form or Subscription Agreement.
We reserve the right to update pricing at any time. Where pricing changes affect active subscriptions, we will provide reasonable advance written notice before the change takes effect.
6. Payment Terms
- Payment is accepted via bank transfer, credit card, or international wire transfer.
- Invoice payment terms are as specified in your Order Form or Subscription Agreement.
- All invoices are GST-compliant. Indian customers are invoiced in INR with applicable GST. Australian customers are invoiced in AUD with applicable GST.
- Overdue accounts may result in suspension of platform access until full payment is received.
- All fees paid are non-refundable except where expressly required by applicable consumer protection law.
7. Onboarding and Training
OMS Software provides onboarding and training support to all new customers. The scope, format, and duration of onboarding is agreed at the time of subscription. This typically includes live setup sessions, access to video tutorials, and written platform documentation. Additional training beyond the agreed scope may be subject to additional fees.
8. Platform Availability
We take reasonable steps to ensure the OMS Software platform is available and performant. We carry out maintenance from time to time, which may temporarily affect availability. Where planned maintenance is expected to cause disruption, we will endeavour to provide advance notice.
OMS Software is not liable for unavailability caused by factors outside our reasonable control, including third-party network outages, force majeure events, or internet infrastructure disruptions.
9. Account Access and User Management
- Platform access is provisioned for the number of named users covered by your subscription.
- Each named user must have their own individual login credentials. Credential sharing between users is not permitted and may result in account suspension.
- You are responsible for managing user access within your organisation, including deactivating accounts for staff who leave or change roles.
- You must notify OMS Software immediately of any suspected unauthorised access to your account.
- Client Portal access for third-party clients does not consume a named user licence. Client Portal users have read-only access to the reports and documents you explicitly share with them.
10. Your Data
You retain full ownership of all data, records, and content you create within the OMS Software platform ("Customer Data"). We do not claim any intellectual property rights over Customer Data.
- We process Customer Data solely to deliver the agreed platform services and as described in our Privacy Policy.
- Customer Data is never used to train AI or machine learning models without your explicit written consent.
- Data retention periods are as agreed in your Order Form or Subscription Agreement, and in accordance with applicable regulatory and accreditation body requirements.
- Data export on termination: Upon termination of your subscription, you may request an export of your Customer Data in a structured format. The process, timeline, and any applicable fees for data export are as agreed in your Subscription Agreement or notified to you at the time of termination.
11. Custom Development and Intellectual Property
OMS Software may develop custom modules, report templates, integrations, or workflow configurations at the request of specific customers ("Custom Work").
- Platform IP: All core platform software, architecture, interfaces, and standard features remain the exclusive intellectual property of OMS-Business Digitalisation Pvt Ltd, regardless of any customisation performed.
- Custom Work ownership: Unless otherwise agreed in a separate written agreement, Custom Work developed specifically for a customer becomes part of the OMS Software platform and may be offered to other customers in a generalised form. If you require exclusive ownership of Custom Work, this must be agreed in writing before development commences and will be subject to a separate commercial arrangement.
- Your configurations: Report templates, form designs, document structures, and workflow configurations you build or customise within the platform using standard tools are considered your Customer Data and you retain full ownership of these.
12. Acceptable Use
You agree not to use OMS Software to:
- Violate any applicable law, regulation, or industry standard
- Upload or transmit malicious code, viruses, or harmful software
- Attempt to gain unauthorised access to any system, account, or data
- Reverse-engineer, decompile, or disassemble any part of the platform
- Reproduce, resell, or sublicense the platform to third parties without written consent
- Conduct load testing or penetration testing without prior written approval from OMS Software
- Submit false, misleading, or fraudulent test data or accreditation records
- Use the platform in any way that degrades performance or availability for other customers
13. Compliance Disclaimer
OMS Software is specifically designed to support compliance with ISO/IEC 17025, ISO/IEC 17020, ISO 9001, NABL, and NATA requirements. Our platform architecture and reporting features are aligned with the technical record-keeping, traceability, and document control requirements of these standards.
However, OMS Software does not guarantee accreditation outcomes. Whether a laboratory achieves or maintains accreditation depends on the quality of its technical competence, management system implementation, and compliance with all applicable standard requirements — factors that extend beyond the platform. We strongly recommend working directly with your accreditation body (NABL, NATA, or other) for guidance specific to your laboratory's scope of accreditation.
14. Limitation of Liability
To the maximum extent permitted by applicable law:
- OMS Software is provided in good faith but without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
- We are not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, or business interruption, arising from your use of the platform.
- Our total aggregate liability to you for any claim arising under these Terms will not exceed the total subscription fees paid by you to OMS Software in the 3 months immediately preceding the claim.
- Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless OMS Software Pty Ltd, OMS-Business Digitalisation Pvt Ltd, and their respective directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your breach of these Terms
- Your misuse of the platform
- Any Customer Data that infringes the rights of a third party
- Your violation of any applicable law or regulation
16. Termination
- By you: You may terminate your subscription in accordance with the notice period set out in your Order Form or Subscription Agreement. Fees paid for the current billing period are non-refundable.
- By us: We may suspend or terminate your access if you breach these Terms and fail to remedy the breach within a reasonable period of written notice, or immediately in cases of serious breach including misuse or fraudulent activity.
- Effect of termination: Upon termination, your access to the platform ceases. Data export arrangements are as described in Section 10.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Victoria, Australia. Any disputes arising under these Terms will first be subject to good-faith negotiation between the parties. If not resolved, disputes will be referred to mediation under the rules of the Resolution Institute (Australia). If mediation fails, disputes will be subject to the exclusive jurisdiction of the courts of Victoria, Australia.
Nothing in this clause limits any rights you may have under mandatory consumer protection law in your jurisdiction (including the Australian Consumer Law or applicable Indian consumer protection legislation).
18. Changes to These Terms
We may update these Terms to reflect changes in our platform, legal obligations, or business operations. We will notify active customers of material changes by email before they take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms. If you do not agree with the updated Terms, you may terminate your subscription in accordance with Section 16.
